Introduction
Manufacturers entering the federal market often hear two very different messages.
The first is that the government needs innovation, stronger domestic supply chains, better components, advanced materials, new production methods, and commercial technology.
The second is that government contracting is slow, regulated, competitive, and difficult to enter without prior federal experience.
Both can be true.
A Cooperative Research and Development Agreement (CRADA) provides one way for a manufacturer and a federal laboratory to work together before—or apart from—a procurement. It can support research, development, testing, technical maturation, and technology transfer. It can also help a company build evidence and insight that strengthen a later commercialization or contracting strategy.
The CRADA itself, however, is not a purchase order, grant, endorsement, source approval, or promise of a federal award.
This booklet explains the fundamentals manufacturers should understand: what a CRADA is, where it creates value, how to identify the right laboratory, what terms matter, how the process works, and how to connect the results to a responsible federal-market strategy.
1. What a CRADA Is
The federal authority for CRADAs is principally found in Title 15 of the United States Code, Section 3710a. A CRADA is a formal written agreement between one or more federal laboratories and one or more nonfederal parties to perform specified research or development consistent with the laboratory's mission.
The federal laboratory may contribute:
- Personnel
- Services
- Facilities
- Equipment
- Intellectual property
- Other laboratory resources
The laboratory may provide those resources with or without reimbursement, but it may not provide funds to the nonfederal party.
The manufacturer may contribute:
- Funds for the laboratory's agreed work
- Personnel and engineering labor
- Prototypes, samples, materials, tooling, or equipment
- Facilities and production capabilities
- Technical data and intellectual property
- Other project resources
The law expressly distinguishes a CRADA from a procurement contract and from a cooperative agreement as that term is used for federal financial assistance.
That difference should control the manufacturer's expectations. A CRADA may help answer a technical question. It does not require the government to purchase the resulting product.
2. Why a Manufacturer Might Use One
A manufacturer may possess commercial agility, specialized production knowledge, a unique process, private investment, supply-chain access, or a path to market. A federal laboratory may possess researchers, specialized facilities, test equipment, federal inventions, models, data, or mission knowledge.
The CRADA creates a structure for combining those capabilities.
The United States Army Technology Transfer Program's 2024 Annual Report identifies potential benefits such as technology maturation, technical problem solving, laboratory access, risk reduction, shared data and prototypes, industrial-base expansion, and commercialization.
Manufacturing use cases may include:
Material and Component Evaluation
A company may need to test a new alloy, coating, seal, bearing, fastener, electronic component, or composite under thermal, vibration, fatigue, corrosion, electromagnetic, or other relevant conditions.
Process Development
A collaboration may improve additive manufacturing, welding, forming, machining, repair, automation, inspection, process control, or defect detection.
Technology Integration
A commercial sensor, power component, communication module, software-enabled device, or other technology may need adaptation and testing within a government-relevant architecture or environment.
Federal Technology Commercialization
A manufacturer may collaborate to mature federally owned technology and separately negotiate a license to manufacture or commercialize it.
Pilot Studies
The National Institute of Standards and Technology (NIST) Manufacturing Extension Partnership has described a CRADA consortium that placed a position-verification sensor and test method in real manufacturing workcells. The manufacturers gained experience with the emerging technology, while the researchers received practical feedback and performance data.
The best CRADA concepts create mutual benefit. The manufacturer should be able to explain both what it needs from the laboratory and what the laboratory gains from the collaboration.
3. What a CRADA Is Not
Manufacturers should not use a CRADA as a label for an ordinary sales effort.
A CRADA is not:
- A federal procurement contract
- A purchase order
- A grant to the manufacturer
- A promise of follow-on production
- A guarantee of qualification or source approval
- A government endorsement
- A sole-source entitlement
- An automatic exclusive license
- A substitute for competition or solicitation requirements
- A substitute for quality, cybersecurity, export-control, domestic-source, or other compliance obligations
The Department of the Air Force Technology Transfer and Transition program expressly states that a CRADA is not a procurement contract or grant and that the Federal Acquisition Regulation does not apply to the CRADA itself.
The correct decision test is simple:
If the immediate goal is for the government to buy an existing product, pursue the appropriate acquisition path.
If the immediate goal is to solve a shared technical problem through complementary federal and private resources, investigate whether a CRADA fits.
4. Finding the Right Federal Laboratory
The process begins with the problem, not with a generic application.
Define:
- The technical uncertainty
- The relevant product, material, process, or environment
- The evidence required
- The resources the company can contribute
- The type of federal capability needed
Then research laboratories by mission and technical capability.
The Federal Laboratory Consortium for Technology Transfer (FLC) represents a community of more than 300 federal laboratories, facilities, research centers, and parent agencies. Its resources can help companies locate facilities, technologies, and technology-transfer contacts.
Other search paths include:
- Agency technology-transfer sites
- Laboratory research portfolios
- Federal patent and licensing listings
- Published papers and technical reports
- Facility and equipment descriptions
- Public industry days and technology showcases
- Manufacturing Extension Partnership centers
- Partnership intermediaries
The FLC recommends contacting the laboratory's Office of Research and Technology Applications (ORTA). Depending on the organization, the office may use another name, such as technology-transfer office or technology partnerships office.
The ORTA helps evaluate fit, locate technical personnel, identify the appropriate agreement, and coordinate the required reviews.
Small manufacturers should not assume that only large companies can participate. The statute directs laboratory directors to give special consideration to small businesses and small-business consortia. It also gives preference to United States business units that agree to manufacture substantially in the United States products embodying CRADA inventions.
Those policies do not guarantee acceptance. Mission alignment, technical merit, mutual benefit, resources, and commercialization ability still matter.
5. Preparing the Concept
A manufacturer should prepare a one-page, nonproprietary concept before the first substantive meeting.
The paper should contain:
- Company overview and manufacturing capability
- The specific technical problem
- The connection to the laboratory's mission
- Proposed collaborative tasks
- Company contributions
- Requested laboratory contributions
- Expected technical outputs
- Commercialization or manufacturing path
- Known security, export-control, foreign-ownership, safety, or access constraints
The opening should frame research—not a sales pitch.
Weak:
“We have an innovative product and want to work with the government.”
Stronger:
“We manufacture a compact power converter and need to determine whether the design can maintain output stability after repeated thermal and vibration cycles relevant to expeditionary use. We can contribute prototypes, engineers, manufacturing data, and funding for agreed laboratory work.”
The second version allows the laboratory to evaluate technical fit, mission connection, and required resources.
6. Building the Agreement
Once the parties find a fit, they develop the statement of work and negotiate the CRADA.
Statement of Work
The NIST CRADA template illustrates the importance of the research plan and statement of work.
The document should define:
- Objective and technical question
- Tasks and responsible parties
- Principal investigators and project personnel
- Contributions from each party
- Milestones and decision points
- Deliverables and success criteria
- Schedule and reporting
- Data, materials, prototypes, facilities, and equipment
- Change-control procedures
The scope should be specific enough to manage but realistic enough to perform.
Intellectual Property
Separate intellectual property into four categories:
Background intellectual property existed before or outside the project. A CRADA should not be assumed to transfer ownership of it.
Manufacturer-only inventions are made solely by company personnel. Federal authority generally allows the company to retain title while the Government normally receives a nonexclusive, nontransferable, irrevocable, paid-up license for research or other government purposes.
Laboratory-only inventions are made by federal laboratory personnel. The collaborator may receive an option to negotiate exclusive or nonexclusive licensing rights within an agreed field of use.
Joint inventions are created by inventors from both parties. The agreement should address ownership, patent filing, costs, licensing, enforcement, and commercialization.
An option to negotiate is not the same as an automatic exclusive license. Manufacturers should evaluate royalties, field of use, territory, diligence milestones, patent costs, and retained government rights.
Proprietary Information and CRADA Data
NIST's CRADA guidance notes that qualifying proprietary information and protected information generated under a project may receive protection from disclosure for up to five years. The statute also authorizes protection for qualifying generated information for up to five years and permits longer protection in limited, specifically authorized circumstances.
The company must understand:
- What qualifies as proprietary information
- What qualifies as CRADA-generated data
- Who may use it
- Required markings
- Publication-review procedures
- Patent-filing delays
- The duration of protection
- Obligations that survive termination
Do not send trade secrets casually or assume that everything discussed is automatically protected.
Other Important Terms
Review:
- Funding and reimbursement
- Patent expenses
- Equipment ownership and return
- Safety and facility access
- Cybersecurity and information handling
- Export controls and foreign participation
- Publication and publicity
- Use of agency and laboratory names
- Liability, indemnification, and warranties
- Termination and closeout
- Dispute resolution
The manufacturer should involve qualified technical, legal, financial, security, export-control, and business personnel as appropriate.
7. Moving From Contact to Signature
A disciplined pursuit generally follows these steps:
- Define the technical problem.
- Identify laboratories by mission and capability.
- Contact the ORTA or equivalent office.
- Submit a short nonproprietary concept.
- Hold a technical and business scoping discussion.
- Confirm that a CRADA is the right mechanism.
- Develop the statement of work and contribution plan.
- Negotiate intellectual-property, data, publication, funding, liability, and other terms.
- Complete laboratory and agency reviews.
- Obtain all required signatures before beginning work.
Processes and timelines vary. Intellectual-property negotiations, multiple parties, foreign ownership, security restrictions, funding, and internal workload may affect the schedule.
Do not base delivery promises, hiring, or large production investments on an unsigned agreement.
After signature, operate the CRADA as a controlled project:
- Conduct a kickoff
- Confirm roles and decision authority
- Track contributions, costs, and milestones
- Control prototype and data configurations
- Mark proprietary information
- Document inventions
- Record changes
- Review transition options before expiration
8. Connecting Research to Revenue
The manufacturer should run two tracks simultaneously.
Technical and Commercialization Track
- Perform the research
- Document results
- Identify design or process changes
- Protect inventions and data
- Negotiate any needed license
- Evaluate manufacturing scale, cost, quality, and reliability
- Identify remaining testing, qualification, certification, or approval steps
Federal Market Track
- Identify agencies, programs, requirements owners, and contracting offices
- Research procurement history and contract vehicles
- Determine whether source approval or platform qualification is required
- Identify prime contractors, original equipment manufacturers, integrators, and distributors
- Prepare registrations and government-facing marketing
- Monitor public notices, forecasts, requests for information, and solicitations
- Build production, quality, cybersecurity, export-control, and supply-chain readiness
If the company wants to compete directly for federal awards, it generally needs an active registration in the System for Award Management (SAM). SAM explains that a complete registration permits an entity to bid on federal contracts; obtaining only a Unique Entity Identifier does not.
The United States Small Business Administration (SBA) also directs prospective contractors to identify appropriate North American Industry Classification System codes, determine size status, maintain compliance, and build an accurate government profile.
The final acquisition route may be:
- Prime competition
- Small-business set-aside
- Subcontracting
- Teaming through a contract vehicle
- Licensing or distribution
- Source approval or qualification
- A public research or prototype opportunity
- Another transaction or agency-specific mechanism
The CRADA does not select that path. Customer need, technology maturity, competition, funding, acquisition strategy, and applicable law do.
9. Describe the CRADA Accurately
A manufacturer may want to use the collaboration in capability statements, proposals, investor materials, or marketing. Follow the signed agreement's publicity and disclosure terms.
Do not call the laboratory a customer unless it actually purchased something. Do not call a test an approval, a demonstration a certification, or a technical relationship a promise to buy. Do not claim exclusivity without a signed license.
Safer, accurate language may include:
- “Collaborated with [laboratory] under a CRADA focused on [approved public description].”
- “Completed the testing defined in the CRADA statement of work.”
- “Generated data concerning [publicly releasable result].”
- “Licensed [federal technology] for [field of use],” if a separate signed license supports the statement.
A CRADA is also not automatically equivalent to performance under a procurement contract. Explain what the company actually did, contributed, produced, and learned without overstating the government's role.
10. A 90-Day Starting Plan
Days 1–30
- Define the technical problem and desired evidence
- Identify company contributions
- Research laboratories, facilities, and federal technologies
- Draft a one-page concept
- Review federal registration and market readiness
- Identify potential government and commercial users
Days 31–60
- Contact the technology-transfer office
- Hold technical-fit discussions
- Confirm the appropriate agreement mechanism
- Identify intellectual-property, data, security, and export issues
- Map requirements owners, programs, contracting offices, and potential partners
Days 61–90
- Develop the statement of work and resource plan
- Estimate internal and laboratory-related costs
- Review key agreement terms with appropriate advisers
- Identify transition decisions and remaining qualification steps
- Build production and compliance gap plans
- Establish criteria for future contract pursuits
Conclusion
A CRADA can give a manufacturer structured access to federal expertise, facilities, equipment, intellectual property, and mission-relevant research. It can help reduce technical risk, mature a product, validate a process, create inventions, and prepare a technology for commercialization.
Its value depends on disciplined expectations.
A CRADA is a collaboration tool—not a procurement shortcut.
Manufacturers enter the federal market with greater confidence when they understand the complete sequence:
- Identify a real mission-relevant problem.
- Find the laboratory with the right mission and capability.
- Offer a credible company contribution.
- Define the scope, resources, data, and intellectual-property rights.
- Perform and document the research.
- Translate results into manufacturing and commercialization decisions.
- Pursue qualification, teaming, licensing, or contracting through the correct channel.
Used correctly, a CRADA can become a bridge from technical possibility to market readiness. It cannot guarantee the destination—but it can make the route far more informed.
